1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Apex Agent Labs, Inc. ("UserApproved.ai", "we", "us", or "our") concerning your access to and use of the UserApproved.ai platform and services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

UserApproved.ai provides an AI-powered conversion rate optimization (CRO) platform that:

  • Analyzes websites for conversion optimization opportunities
  • Identifies user experience issues and bugs
  • Provides actionable recommendations and code snippets
  • Monitors website performance and user journeys
  • Generates reports and insights

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

3. Account Registration and Security

3.1 Account Creation

To use our services, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You may not share your account credentials or allow others to access your account.

4. Acceptable Use

You agree not to:

  • Use our services for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the integrity or performance of our services
  • Reverse engineer, decompile, or disassemble any part of our services
  • Use automated systems to access our services without permission
  • Transmit viruses, malware, or other malicious code
  • Collect or harvest information about other users
  • Impersonate any person or entity
  • Use our services to compete with us or build a similar product

5. Intellectual Property Rights

5.1 Our Property

The UserApproved.ai platform, including all content, features, functionality, software, and technology, is owned by Apex Agent Labs, Inc. and is protected by copyright, trademark, and other intellectual property laws.

5.2 Your Content

You retain ownership of any content you provide to our services. By using our services, you grant us a limited, non-exclusive, royalty-free license to use, process, and analyze your content solely to provide and improve our services.

5.3 Feedback

If you provide us with feedback, suggestions, or ideas, we may use them without any obligation to you.

6. Payment and Billing

6.1 Fees

Access to certain features requires payment of fees. You agree to pay all applicable fees as described on our pricing page. All fees are non-refundable unless otherwise stated.

6.2 Billing

For subscription services:

  • You will be billed in advance on a recurring basis (monthly or annually)
  • Your subscription automatically renews unless cancelled
  • You must provide current, complete, and accurate billing information
  • We may suspend or terminate your account for non-payment

6.3 Price Changes

We reserve the right to change our fees. We will provide you with reasonable notice of any fee changes before they take effect.

6.4 Shopify App Billing

This Shopify app is free to install and use. The app does not use Shopify's Billing API and does not charge any fees through your Shopify store.

If you choose to subscribe to UserApproved.ai's premium services (beyond the free trial), billing is handled separately through the UserApproved.ai platform, not through Shopify. The Shopify app serves as a connector to sync your store data to UserApproved.ai for analysis and optimization services.

7. Free Trial

We may offer a free trial period. At the end of the trial, you will be charged unless you cancel before the trial ends. We reserve the right to modify or terminate free trial offers at any time.

8. Cancellation and Termination

8.1 Cancellation by You

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

8.2 Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms
  • You fail to pay applicable fees
  • We are required to do so by law
  • We discontinue the service

8.3 Effect of Termination

Upon termination, your right to use our services will immediately cease. We may delete your data in accordance with our data retention policies.

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Guarantee of Results

We do not guarantee that our services will improve your conversion rates or achieve any specific results. Our recommendations are based on analysis and best practices but results may vary.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APEX AGENT LABS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10. Indemnification

You agree to indemnify, defend, and hold harmless Apex Agent Labs, Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of our services or violation of these Terms.

11. Data Privacy and Security

Our collection and use of personal information is described in our Privacy Policy. By using our services, you consent to our Privacy Policy.

While we implement reasonable security measures, we cannot guarantee the security of your data. You use our services at your own risk.

12. Third-Party Services

Our services may integrate with or contain links to third-party services. We are not responsible for the content, policies, or practices of third-party services. Your use of third-party services is at your own risk and subject to their terms and policies.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through our services. Your continued use of our services after changes take effect constitutes acceptance of the modified Terms.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court.

14.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Apex Agent Labs, Inc. regarding our services.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

17. Shopify App Integration

17.1 Shopify Store Connection

By connecting your Shopify store to UserApproved.ai, you:

  • Grant us permission to access your Shopify store data via Shopify's API
  • Confirm you have authority to grant such access
  • Agree to comply with Shopify's terms and policies
  • Acknowledge we store encrypted access tokens to provide our services

17.2 Scope of Access

Our app requests the following Shopify permissions (scopes):

  • read_analytics, read_checkouts, read_price_rules, read_discounts, read_draft_orders, read_fulfillments, read_inventory, read_locations, read_marketing_events, read_orders, read_product_listings, read_products, read_script_tags, read_shipping, read_content, read_themes
  • Note: We do not request access to customer records (read_customers). Order and checkout data may contain customer information embedded in transaction records, but we sanitize all personally identifiable information (PII) after data collection for privacy protection.

17.3 Data Processing

Your Shopify store data may be processed and stored by UserApproved.ai in the United States or other jurisdictions. We implement appropriate security measures. You retain ownership of your store data.

17.4 Shopify App Restrictions

  • Do not use our Shopify app in violation of Shopify's terms
  • Do not attempt to circumvent Shopify's API rate limits
  • Do not share your access tokens with third parties

17.5 Disconnecting Your Store

You may disconnect your Shopify store at any time. Upon disconnection, we stop collecting new data and delete data per our retention policy.
